Terms of Service

1. Acceptance of Terms

By accessing or using Submission Bridge ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users, including administrators, underwriters, and any other individuals accessing the Service on behalf of an organization.

2. Description of Service

Submission Bridge provides AI-assisted automation tools to help insurance MGAs and agencies:

• Extract data from submission documents
• Route submissions to eligible carriers
• Assist with entering data into carrier portals
• Retrieve quotes and policy information

The Service is an assistance tool and does not guarantee accuracy, completeness, or successful outcomes. All outputs require human verification.

3. User Responsibilities

You agree to:

• Provide accurate account information and keep it updated
• Maintain the security of your account credentials
• Provide valid carrier portal credentials for which you are authorized
• Use the Service only for lawful purposes
• Not attempt to circumvent any security measures
• Not reverse engineer, decompile, or disassemble the Service
• Not use the Service to violate any carrier terms of service

You are solely responsible for ensuring you have authorization to use carrier portals and that your use complies with each carrier's terms and conditions.

4. Data and Content

Your Content

You retain ownership of all documents, data, and content you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to process Your Content solely to provide the Service.

Accuracy of Information

You represent that all information you provide is accurate and complete. The Service processes data as provided and cannot verify the accuracy of source documents.

Prohibited Content

You may not upload content that is illegal, fraudulent, defamatory, or violates any third party's rights.

5. Fees and Payment

Pricing

Current pricing is usage-based:

• $0.50 per submission processed
• $0.50 per carrier quote request
• $0.60 per loss run request
• $1.00 per renewal pull-down

Prices are subject to change with 30 days notice.

Billing

Fees are billed monthly based on usage. Payment is due within 30 days of invoice. Late payments may result in service suspension.

8. Indemnification

You agree to indemnify, defend, and hold harmless Submission Bridge and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party's rights
• Any content you submit through the Service
• Your reliance on any data or outputs without proper verification

9. Termination

We may terminate or suspend your access immediately, without prior notice, for:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion for any reason

You may terminate your account at any time. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination will survive.

10. Intellectual Property

The Service, including its design, features, and content, is owned by Submission Bridge and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful within 30 days, disputes shall be resolved in the state or federal courts located in Spokane County, Washington.

You consent to the exclusive jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
